5月14日,英國內(nèi)政部移民局發(fā)布移民法的修正案,針對多類簽證的政策進(jìn)行調(diào)整。涉及修改的包括備受關(guān)注的海外首席代表簽證、剛推出一年的初創(chuàng)者簽證(Start-up Visa)和創(chuàng)新者(Innovator Visa)簽證、全球杰出人才簽證。新的政策將于2020年6月4日開始實(shí)施。
以下更新的法條將于04/06/2020開始實(shí)施,也就是說在這個(gè)時(shí)間節(jié)點(diǎn)之后遞交的首代申請,無論是首簽續(xù)簽以及永居,都需要參考更新后的要求。
注:下文提到的英國子公司/分公司是對a registered branch orwholly-owned subsidiary的簡稱,同時(shí)等同于分支機(jī)構(gòu)的角色。
5.1 In paragraph 144, after “are that he” add “genuinely”.
144.Therequirements to be met by a person seeking leave to enter the United Kingdom as a representative of an overseas business are that he genuinely:
盡管在這個(gè)部分只增加了一個(gè)詞,但是增強(qiáng)了對于申請人背景真實(shí)性的考察,意味著首代申請過程中的面試幾率有可能會(huì)增加。
5.2 In paragraph 144(i), after “a business which has” add “, and willcontinue to have,”
144(i)hasbeen recruited and taken on as an employee outside the United Kingdom of abusiness which has, and will continue to have,its headquarters and principal place of business outside the United Kingdom;and
強(qiáng)調(diào)了在英國境外母公司經(jīng)營的持續(xù)性,對于大部分申請人來說,這個(gè)要求還是容易達(dá)到的。
5.3 For paragraph 144(ii)(a), substitute:
144(ii)(a) as a senior employee of an active and trading overseas business which has no active branch, subsidiary or other representativein the United Kingdom for the purpose of representing that business in theUnited Kingdom by establishing and operating a registered branch orwholly-owned subsidiary of it, where that branch or subsidiary will activelytrade in the same type of business as that overseas business and is not being established solely for the purpose off acilitating the entry and stay of the applicant; or
更新后的法條強(qiáng)調(diào)了 active and trading,并且要求英國子公司/分公司為母公司業(yè)務(wù)帶來積極影響。也就是說,在申請續(xù)簽和永居的過程中,對于證明子公司/分公司商業(yè)活動(dòng)的材料要求更高了。
5.4 For paragraph 144(iii)(a), substitute:
144(iii)(a)will be the sole representative of that overseas business present in the United Kingdom under the terms of this paragraph, with the skills, experience and knowledge ofthe business necessary to undertake that role, and the full authority tonegotiate and take operational decisions on behalf of that business;
在這里可以看到,對于海外首席代表本人的要求提高了。強(qiáng)調(diào)了申請人自身的能力,工作經(jīng)驗(yàn)和要對于子公司/分公司決策進(jìn)行全權(quán)掌控。
我們在申請過程中需要注意的是:提供更完整的申請人的資歷證明。對于跨行業(yè)的申請人來說,要著重注意去證明自己與崗位的關(guān)聯(lián)性。
5.5 For paragraph 144(iii)(b) “intends to be employed full time as arepresentative of that overseas business” substitute:
144(iii)(b) isan existing senior employee of that overseas business who intends to Page 4 of24 be employed full time as a representative of that business and will notengage in business of his own or represent any other business’s interest in theUnited Kingdom;”
強(qiáng)調(diào)了海外首席代表不得在英國開展與子公司/母公司無關(guān)的其他的業(yè)務(wù)。
5.6 For paragraph 144(iii)(c) “is not a majority shareholder in that overseas business;” substitute:
144(iii)(c)does not have a majority stake in, or otherwise own or control, that overseasbusiness, whether that ownership or control is by means of a shareholding, partnership agreement, sole proprietorship or any other arrangement;”.
在這個(gè)部分,可以看出,更具體的限制了海外首席代表對英國子公司/分公司控股。針對如何注冊英國子公司/分公司,并且為英國子公司/分公司設(shè)立賬戶,請?jiān)趯I(yè)人員的指導(dǎo)下操作。
5.7 In paragraph 144(iii)(d)(1), after “distribution” add “or ownership”.
144(iii)(d)(1) a full description of the company’s activities, including details of thecompany’s assets and accounts and the company share distribution or ownership for the previous year;
Ownership強(qiáng)調(diào)了子公司/分公司的實(shí)際控股人,意味著移民局會(huì)更加著重考察子公司/分公司的實(shí)際持股人/公司。
5.8 In paragraph 144(iii)(d)(4), for “is fully familiar with the company’sactivities and has full powers to negotiate and take operational decisionswithout reference to the parent company” substitute: “has the relevant skills,experience, knowledge and authority as outlined in (iii)(a)”.
(4)a letter confirming the applicant has the relevantskills, experience, knowledge and authority as outlined in (iii)(a); and
在這個(gè)部分再次強(qiáng)調(diào)了首代申請人的個(gè)人資歷,并且需要在母公司出具的派遣信中體現(xiàn)出來。
5.9 In paragraph 147(ii)(b), after “subsidiary” add “which they established in the UK in accordance with paragraph 144 of these rules”.
(b)that he is employed full time as a representative of that overseas business and has established and is in charge of its registered branch or wholly owned subsidiary which they established in the UK in accordance with paragraph 144 of these rules;
在這個(gè)部分再次強(qiáng)調(diào)了,首代申請人只能為英國子公司/分公司工作。
5.10 In paragraph 194, at the end of sub-paragraph (viii) after “entry inthis capacity” insert: “; and (ix) where the applicant is accompanying orjoining a person granted entry clearance or leave to enter or limited leave toremain as the sole representative of an overseas business within the meaning ofparagraph 144(ii)(a), the applicant does not have a majority stake in, orotherwise own or control, that overseas business, whether that ownership orcontrol is by means of a shareholding, partnership agreement, soleproprietorship or any other arrangement”.
(viii)the applicant holds a valid United Kingdom entry clearance for entry in this capacity; and
(ix) where the applicant is accompanying or joining a person granted entry clearance or leave to enter or limited leave to remain as the sole representative of an overseas business within the meaning of paragraph144(ii)(a), the applicant does not have a majority stake in, or otherwise ownor control, that overseas business, whether that ownership or control is by means of a shareholding, partnership agreement, sole proprietorship or any other arrangement.
呼應(yīng)上文144段落中的對子公司/分公司控股要求,再次強(qiáng)調(diào)了首代申請人的家屬同時(shí)也不可以作為大股東,不可個(gè)人擁有或控制子公司/分公司。也就是說如果申請人的家屬如果是母公司的重要股東,那么將有拒簽的風(fēng)險(xiǎn)。
總而言之,這一次的法條更新主要增強(qiáng)了對首代申請人背景的真實(shí)性,個(gè)人資歷的相關(guān)性的審核。同時(shí)對于首代申請人以及副申請人對公司的持股和控制進(jìn)行了明確的限制,整體的簽證審核要求是在縮緊的。
解讀:
1. 首先需要明確的是這次政策的變化,屬于堵漏式樣的微調(diào),對于整個(gè)簽證的法律精神并沒有做出方向性的變化,屬利好。
2. 這是英國政府或者說英國移民局一貫的做法,在政策的執(zhí)行層面經(jīng)常會(huì)發(fā)現(xiàn)各種各樣的問題,被鉆漏洞,鉆空子,所以要時(shí)不時(shí)的修補(bǔ)一下,打個(gè)補(bǔ)丁來防止漏洞。
3. 我們來看下這次的補(bǔ)漏行動(dòng)主要針對的幾個(gè)方面:
從法律層面補(bǔ)充了要求面試的合法性,因?yàn)閲?yán)格意義上,如果不增加這個(gè)詞,法律層面存在面試的合法性的瑕疵問題;
同樣,從法律層面上彌補(bǔ)文字的漏洞,要求海外分公司或者代表處能夠持續(xù)運(yùn)營;
文字層面加強(qiáng)對于英國開設(shè)的子公司或者分公司代表處的真實(shí)性,需要加強(qiáng)材料的完整程度,來證明不是為了移民而開設(shè)的分公司或者代表處;這個(gè)部分需要注意的是,如果有近期發(fā)生重大股份變動(dòng)的,需要注意!因?yàn)楹苡锌赡鼙怀椴椴⑶乙蠼忉屩卮蠊煞葑兏睦碛珊驮颍?/p>
加強(qiáng)了對申請人自身背景的相關(guān)要求,特別是在學(xué)歷及工作背景與母公司主營業(yè)務(wù)有所差異的情況下,需要進(jìn)一步證明合適性及關(guān)聯(lián)性;
母公司派遣證明中,需要增加具體的說明申請人的基本背景和派遣的必要性,這一點(diǎn)很重要!文案操作,準(zhǔn)備的時(shí)候需要單獨(dú)注意和加強(qiáng)。
再次強(qiáng)調(diào)申請人只能為英國的全資子公司或者代表處工作;
強(qiáng)調(diào)申請人不能以其他方式,例如承包,或者暗自控股母公司在英國的子公司或者代表處;
最后一點(diǎn)和大家最相關(guān):第一次明確從法律層面約束“申請人的同行人(通常指的是配偶)同樣不能以任何方式例如承包,暗自控股的形式來控制母公司。
總體而言,本次移民法修正條例對于首席代表簽證并沒有本質(zhì)的變化,但是從細(xì)節(jié)上優(yōu)化和補(bǔ)充了老政策的一些不明確和不清晰的地方,整體的法律精神并沒有發(fā)生變化。
但是!需要注意的是,從細(xì)節(jié)上看本質(zhì) - 移民局已經(jīng)逐漸意識(shí)到整個(gè)簽證的申請過程中存在的一些潛在的問題,并且逐步加強(qiáng)了對這個(gè)簽證的審核力度,這一點(diǎn)我個(gè)人認(rèn)為是和中國申請人在過去一年,英國停止了20萬英鎊的企業(yè)家移民之后,大量申請這個(gè)簽證有著密不可分的關(guān)系。
